AGREEMENT TO OUR LEGAL TERMS

We are AVELIN AI L.L.C-FZ, doing business as AVELIN AI ("Company," "we," "us," or "our"), registered in the United Arab Emirates at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE.

We operate the AVELIN Model Context Protocol servers (AVELIN MCP), an enterprise API integration framework and routing infrastructure, as well as related backend services (collectively, the "Services"). You can contact us at hello@avelin.ai.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and AVELIN AI, concerning your access to and programmatic use of the Services. By generating an API key, authenticating an integration, or otherwise accessing the Services, you agree to be bound by these Legal Terms. IF YOU DO NOT AGREE, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES.

1. NATURE OF THE SERVICES

AVELIN MCP operates as a secure, backend data bridge. It allows you to connect third-party enterprise tools (such as Gmail, Google Calendar, Google Tasks) to external Large Language Models (LLMs), AI agents, or custom client applications.

  • AVELIN MCP is a transit and orchestration layer. We securely fetch data from your connected tools and route it to your chosen AI endpoints. We do not natively generate AI outputs.
  • The functionality of the Services relies on the availability of the third-party APIs you connect (e.g., Google) and the LLMs you query (e.g., OpenAI, Anthropic). We do not control these external platforms and assume no liability for their uptime, security, or data policies.

2. API ACCESS AND USER REPRESENTATIONS

Because AVELIN MCP is designed for machine-to-machine and developer interactions, you represent and warrant that:

  1. You will access the Services only through authorized programmatic protocols (such as standard MCP client requests, SDKs, or approved APIs).
  2. While automated querying is the intended use of the Services, you will not use unauthorized web scrapers, DDoS scripts, or malicious botnets to overwhelm or abuse our infrastructure.
  3. You have the legal authority and administrative rights to authenticate and bind the third-party enterprise accounts (e.g., your company's Gmail or Google Calendar) that you connect to our servers.
  4. Compliance: Your use of the Services will not violate any applicable law, regulation, or the Terms of Service of the third-party tools or LLMs you connect to our routing layer.

3. ACCOUNT SECURITY AND CREDENTIALS

To access the Services, you will be issued or required to generate API keys, OAuth tokens, and/or administrative passwords. You are strictly responsible for maintaining the confidentiality of your credentials. You agree not to share individual API keys across unverified applications or unauthorized users. You are fully liable for API requests, and data routing that occurs under your account credentials, regardless of whether you authorized the specific action.

4. INTELLECTUAL PROPERTY RIGHTS

We are the sole owner or licensee of all intellectual property rights in our Services, including the MCP server architecture, routing logic, source code, APIs, and databases (collectively, the "Content") and our logos ("Marks"). Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to connect to and use the Services for your internal commercial purposes.

5. PROHIBITED ACTIVITIES

You may not use the Services for unauthorized reselling, white-labeling, or building a competitive routing product without a specific enterprise partnership agreement. You strictly agree not to:

  • Decipher, decompile, disassemble, or reverse engineer any part of the Services, including our integration architecture or MCP routing logic.
  • Route or transmit any prompt, payload, or file designed to execute malicious code, malware, or prompt-injection attacks against our servers, the connected LLMs, or third-party APIs.
  • Interfere with or create an undue burden on our networks, including intentional prompt bombing or attempting to bypass API rate limits and compute quotas.
  • Use AVELIN MCP to bypass the safety guidelines, rate limits, or terms of any connected LLM or third-party enterprise application.

6. TRANSIENT DATA PROCESSING LICENSE

AVELIN MCP is a secure routing layer, not a permanent data warehouse. When you trigger an integration, we must fetch and transmit your data (the "Payload Data") to execute the task.

By authenticating third-party apps and submitting queries, you grant us a limited, irrevocable, non-exclusive, worldwide right to fetch, copy, parse, translate, and transmit your Payload Data strictly for the purpose of operating and securing the Services.

  • You retain full ownership of your Payload Data.
  • We process Payload Data transiently in-memory to execute your integrations. We do not permanently database, archive, or claim ownership over the underlying contents of your emails, documents, or third-party account data.

7. GOOGLE API COMPLIANCE (LIMITED USE)

Where you use AVELIN MCP to connect Google services, we route data strictly based on the exact granular permissions you grant.

AVELIN AI's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  • Depending on your configurations, we only access tools such as, but not limited to, Gmail, Google Calendar, Google Contacts, Google Tasks, and any other APIs you authorize, strictly to execute the integrations you request.
  • We do not use your Google API data to serve or target advertisements.
  • We do not allow humans to read your Google API data unless we have your affirmative agreement for specific troubleshooting, it is required for security (investigating abuse), or it is necessary to comply with applicable law.

8. PRIVACY AND SECURITY

We care about data privacy and the security of your API traffic. Please review our AVELIN MCP Privacy Policy at https://avelin.ai/legal/mcp-privacy . By using the Services, you agree to the data handling and transient routing practices described therein. We reserve the right to monitor API traffic to detect fraud, security threats, or violations of these Legal Terms.

9. SUSPENSION AND TERMINATION

We reserve the right, in our sole discretion and without liability, to deny access to the Services (including blocking IP addresses or revoking API keys) if we determine you have breached these Legal Terms, violated applicable law, or pose a security threat to our infrastructure. If we terminate your account for cause, you are strictly prohibited from generating new API keys or registering a new account under a fake identity.

10. MODIFICATIONS AND DOWNTIME

We cannot guarantee the Services will be available at all times. We may experience hardware, network, or software problems—including outages, deprecations, or rate limits enforced by third-party AI models or external API providers—resulting in interruptions or delays. You agree that we have no liability for any loss or downtime caused by our infrastructure or by the failure of external platforms you connect to AVELIN MCP.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE." YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

BECAUSE AVELIN MCP ACTS AS A PASS-THROUGH ROUTING LAYER, WE MAKE NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE DATA FETCHED FROM EXTERNAL APIS, NOR THE AI-GENERATED OUTPUTS PRODUCED BY THE LLMS YOU CONNECT. WE ASSUME NO LIABILITY FOR (1) "HALLUCINATIONS" IN AI CONTENT; (2) UNAUTHORIZED ACCESS TO YOUR SECURE TOKENS; OR (3) ANY DOWNTIME OR DEPRECATIONS ENFORCED BY THIRD-PARTY PLATFORMS.

12. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (1) your Payload Data; (2) your programmatic use of the Services; (3) your breach of these Legal Terms; or (4) your unauthorized access, use, or processing of third-party data and APIs via our MCP integrations.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Legal Terms shall be governed by the laws of the United Arab Emirates.

  • Informal Negotiations: The Parties agree to attempt to negotiate any Dispute informally for at least thirty (30) days.
  • Binding Arbitration: Any dispute arising out of these Legal Terms shall be referred to and finally resolved by the International Commercial Arbitration Court under the Dubai International Arbitration Centre (DIAC) according to its Rules. The number of arbitrators shall be one (1). The seat of arbitration shall be Dubai, United Arab Emirates. The language shall be English.
  • No Class Actions: No arbitration shall be joined with any other proceeding, and there is no right for any Dispute to be arbitrated on a class-action basis.

15. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right shall not operate as a waiver. We may assign our rights to others at any time. We are not responsible for delays caused by Force Majeure events. If any provision is deemed unlawful or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES AND ELECTRONIC DELIVERY OF NOTICES AND API TRANSACTIONS.
